A tokenized warehouse receipt only works when a real warehouse acknowledges identified goods, applicable law gives the record the intended effect, one party can demonstrate control, and the operator can honor a transfer, pledge or delivery request. A blockchain record cannot by itself establish that the goods exist or that its holder has title.
Start at the warehouse, not the token
The first question is not which chain to use. It is whether the warehouse will confirm that specific goods are held for a defined person, under a receipt it can recognize, transfer and redeem. If the issuer cannot identify the lot, grade, quantity, location, storage charges and release conditions, a digital wrapper makes the ambiguity travel faster.
This guide concerns warehouse receipts used in commodity finance, not a general gold-token ranking. It is a procurement framework, not legal advice or a claim that any jurisdiction has adopted a particular model law.
Four records that must agree
| Record | Who should be able to evidence it | Failure to test |
|---|---|---|
| Goods and custody | Warehouse operator; independent inspector where required | Receipt survives after loss, substitution or deterioration |
| Receipt and control | Issuer, registry operator and legally entitled controller | Duplicate or conflicting electronic originals |
| Security interest | Lender, pledge registry or contractual control agent | Goods are transferred while pledged |
| Delivery or cash exit | Warehouse, holder and settlement parties | Token is burned but goods or proceeds cannot be released |
The UNCITRAL-UNIDROIT Model Law on Warehouse Receipts describes a framework for paper and electronic receipts, including issuance, transfer, warehouse duties and delivery. It is a model law, not a universal rule. The UNCITRAL Model Law on Electronic Transferable Records treats reliable exclusive control of an electronic record as a functional counterpart to possession in the model framework. Whether that concept has legal effect in a specific transaction requires local analysis.
Decide what the token represents
Three common proposals should not be collapsed into one:
- Electronic receipt represented by a token. The receipt is the legally operative record and the token workflow must preserve its integrity, control and surrender conditions.
- Token referencing an off-chain receipt. The authoritative record may remain in a warehouse or registry system. A token transfer is not necessarily a transfer of the receipt.
- Security or fund interest backed by stored goods. The investor owns an interest in an issuer or vehicle, not necessarily a direct right to collect a particular pallet or bar.
Ask counsel and the warehouse to mark the authoritative record and the point at which rights pass. A smart contract can enforce a permitted-transfer list, but it cannot resolve a defective storage contract or a disputed quantity.
The buyer's acceptance test
Use one deliberately awkward lot: goods arrive with an initial weight, inspection changes the grade, the lender takes a pledge, one unit is released, then a holder requests delivery. Require the operator to show the original and amended warehouse records, the receipt version, who approved each change, the lender's consent, the remaining balance, and the final cancellation or surrender evidence.
Also ask for the following before signing:
- Named warehouse and inspection counterparties, liability limits and insurance terms.
- A method for preventing two live claims against the same goods, including paper-to-electronic conversion.
- Physical audit cadence, reconciliation of quantities and handling of losses or substitutions.
- Conditions for transfer, pledge, freeze, correction and forced action.
- Delivery timing, fees, geography, customs and sanctions checks.
- An export of records and audit evidence if the platform or warehouse changes.
The category boundary matters. Physical-asset verification providers can help establish condition or provenance; trade-finance infrastructure can move documents and instructions. Neither alone establishes legal title or warehouse performance.
What to reject in a demonstration
A mint transaction is not an inventory audit. An image of goods is not a current inspection. A dashboard showing one token per unit is not proof that each unit is unencumbered. Ask vendors to reproduce a disputed delivery and a warehouse failure, including the legal record and the human escalation path. If those events cannot be demonstrated, label the arrangement a pilot rather than a production-ready commodity-finance product.
Research basis
FluidRWA reviewed the two UNCITRAL model-law pages on 24 October 2026. The control questions and test scenario are FluidRWA's procurement recommendations, not claims that a named platform satisfies them. A model law's publication does not establish enactment in a buyer's jurisdiction. For a scoped vendor brief, write to contact@fluidrwa.com.
FAQ
Does an NFT prove ownership of stored commodities?
No. The legal rights depend on the governing documents, the warehouse operator's obligations and applicable law. The token may carry or reference a record, but it does not independently prove the inventory exists or confer title.
Can the same receipt be pledged and sold?
That depends on the applicable receipt and security-interest law and the operating controls. Buyers should require a control and encumbrance register that prevents unauthorized conflicting claims.
Is the UNCITRAL model law already in force everywhere?
No. It is a model for states to consider adopting. Counsel must check the actual law and recognition rules in every relevant jurisdiction.
